Artist Terms
Specialized Provisions for Solo & Independent Artists

2. Terms of Distribution for Artists

Key Rights for Independent Artists
  • Artists retain 100% full legal ownership of master sound recordings and compositions.
  • Munex Digital is granted a non-exclusive license solely to encode, ingest, deliver, and monetize releases across global DSPs.
  • Artist subscriptions operate on an initial 3-month activation term followed by Quarterly (3-month) renewal cycles.
  • Royalties are disbursed directly to verified destination bank accounts or registered electronic settlement methods.

2.1 Master Ownership & Non-Exclusive Grant

You retain complete and unencumbered ownership of all copyright, master sound recordings, compositions, lyrics, and artwork uploaded to your Artist account. By uploading, you grant Munex Digital a non-exclusive, worldwide license solely to encode, transcode, ingest, deliver, publically perform, monetize, and stream your assets across authorized DSP channels.

2.2 Artist Warranties & Sample Clearances

As an Artist, you warrant that every track submitted is either entirely original or created with fully cleared, written commercial licenses for every sample, instrument loop, beat lease, or vocal interpolation used. Unlicensed uncleared samples or sound recordings copied from third parties will result in immediate catalog rejection.

2.3 Quarterly Billing Renewal Cycle

Artist subscription terms are structured on a quarterly (3-month) cycle. Upon the conclusion of your initial active period, your subscription will automatically renew quarterly unless updated or terminated prior to the renewal date.

2.4 Direct Payouts & Minimum Settlement Threshold

Royalty earnings are aggregated from verified DSP remittance reports. Artists may request withdrawal disbursements once their net balance meets the minimum threshold ($10.00 USD or equivalent local currency). Payouts are made directly to the verified legal bank account or mobile payment gateway configured in your account.

2.5 Takedown Rights

You may request the removal or takedown of any or all of your distributed releases at any time. Munex Digital will issue DDEX ERN takedown messages to all DSP partners within two (2) business days; storefront removal times are subject to individual DSP ingestion schedules (typically 24–72 hours).

Label Terms
Specialized Provisions for Record Labels & Imprints

3. Terms of Distribution for Record Labels

Key Responsibilities for Record Labels
  • Labels warrant executed recording contracts or written powers of attorney for all artists in their roster.
  • Authorized to administer proprietary label imprints and custom copyright attribution (C-Line and P-Line).
  • Label accounts operate on an initial 3-month activation term followed by standard Monthly (1-month) renewal cycles.
  • The Record Label bears direct fiduciary responsibility for internal split accounting to contracted artists.

3.1 Representation Authority & Power of Attorney

Any entity registering or operating as a Record Label explicitly warrants that it possesses valid, executed recording agreements, exclusive distribution licenses, or written powers of attorney from all artists whose tracks are uploaded under its roster. The Label agrees to furnish copies of such contracts upon request by Munex Digital compliance auditors.

3.2 Proprietary Label Imprints & Metadata Branding

Record Labels are entitled to register proprietary label imprints, trade names, and custom copyright attribution (C-Line and P-Line metadata). All releases distributed under the label will reflect the designated label name across digital storefronts worldwide.

3.3 Monthly Renewal Term

Following the initial 3-month activation term, Record Label accounts transition to a standard monthly renewal cycle (1 month). Labels enjoy priority metadata validation and batch multi-track release allocations commensurate with enterprise catalog operations.

3.4 Split Royalty Governance & Internal Accounting

While Munex Digital provides automated split percentage reporting, the Record Label bears the ultimate legal and fiduciary responsibility for disbursing earned royalties to its signed performers, lyricists, composers, and session musicians in accordance with their respective private contracts.

3.5 Catalog Indemnification

The Record Label unconditionally indemnifies, defends, and holds harmless Munex Digital, its directors, officers, and DSP partners from any third-party lawsuits, damages, legal fees, or copyright claims resulting from releases uploaded by or under the Label account.

Distributor Terms
Specialized Provisions for B2B Independent Distributors

4. Terms of Governance for Distributors

Key Covenants for B2B Distributors
  • No Self-Registration: Distributor workspaces are provisioned, vetted, and activated solely by Platform Administrators.
  • Admin Verification Gate: Distributors submit catalog releases for mandatory Admin QA review; zero self-approval or direct DSP publication.
  • Multi-Tenant Data Isolation: Complete logical quarantine ensuring distributors only access their assigned creators and catalog.
  • Precedence of B2B Contracts: Master commercial agreements supersede standard platform terms for wholesale splits and fees.

4.1 Account Provisioning & No Self-Registration

Distributor accounts are enterprise B2B partner entities. There is no public self-registration for Distributor accounts. Each Distributor workspace is reviewed, provisioned, configured, and activated solely by Munex Digital Platform Administrators. Initial administrative credentials are created by Platform Admins and must be updated upon first sign-in.

4.2 Release Submission Gate & Zero Self-Approval Authority

Distributors possess comprehensive tools to upload audio, enter metadata, and bundle releases for their associated artists and labels. However, Distributors do not possess authority to mark releases as 'Live' or bypass Platform Ingestion QA. Every single release submitted by a Distributor must enter the Admin Verification Queue. Only certified Platform Administrators hold authorization to approve, reject, or dispatch releases to ingestion providers (OpenIMP, CI/State51 DDEX SFTP, or Manual Provider workflows).

4.3 Strict Multi-Tenant Data Isolation

A Distributor’s administrative access is strictly quarantined to creator accounts, record labels, catalogue assets, and financial ledgers mapped to that Distributor’s unique organizational ID. Under no circumstances may a Distributor inspect, query, or interact with unlinked creators, independent direct artists, or other distributor organizations on Munex Digital.

4.4 Precedence of Master B2B Commercial Agreements

Wholesale commission percentages, platform service fees, volume discounts, waterfall distribution models, and customized payout settlements are governed by independent master service agreements executed between the Distributor and Munex Digital. In the event of an operational divergence between these general platform terms and a formally signed B2B contract, the signed B2B agreement shall supersede and control.

4.5 Sub-User & Credential Governance

Distributors are strictly accountable for all actions conducted through their workspace credentials. Sharing login credentials, delegating access to unauthorized third parties, or failing to report compromised accounts will result in immediate suspension of the Distributor tenant workspace.

5Catalog Warranties, Sample Clearances & IP Protection

For every release, track, audio recording, and artwork asset submitted to Munex Digital by any Artist, Record Label, or Distributor, you explicitly warrant and represent that:

You own all master recording rights or possess valid written synchronization and mechanical licenses from all copyright owners.

All samples, beats, and interpolations have been formally cleared in writing from the master rights holders.

Your submission contains no copyright-infringing content, unaccredited sound recordings, or deceptive metadata designed to impersonate existing artists.

Audio assets adhere to lossless delivery standards (minimum 44.1 kHz / 16-bit or 24-bit WAV/FLAC) and artwork is square (minimum 3000 x 3000 px).

6Admin Verification Gate & Provider Ingestion Workflow

All releases—regardless of whether they originate from an Artist, a Record Label, or an Independent Distributor—are subject to mandatory review by Platform Administrators before delivery to digital service providers.

QA Compliance Checks: Platform Admins inspect audio loudness, frequency integrity, parental advisory tags, artwork quality, spelling of artist credits, and duplicate ISRC allocations.

Delivery Dispatch: Once approved, the release is ingested into configured delivery pipelines: OpenIMP REST, CI/State51 DDEX SFTP, or Manual Provider delivery channels.

7Zero-Tolerance Policy on Artificial Streaming & Fraud

Strict Anti-Fraud Enforcement Notice

Munex Digital maintains a strict zero-tolerance policy against artificial streaming, automated bots, playlist farm syndicates, loop-play scripts, and fake plays intended to inflate royalty payouts.

  • If a DSP (Spotify, Apple, YouTube) flags artificial stream manipulation, all pending earnings will be withheld.
  • Fines and administrative fees levied by DSPs (e.g., Spotify artificial streaming fee) will be directly debited from the responsible account.
  • Repeated violations will trigger permanent global catalog takedowns and account termination without refund.

8Royalty Settlements, Billing Renewals & Idempotency

Artist Billing Cycle:

Initial 3-month activation term, followed by automatic Quarterly (3 months) renewal periods.

Record Label Billing Cycle:

Initial 3-month activation term, followed by automatic Monthly (1 month) renewal periods.

Cryptographic Idempotency: All payout transactions and ledger adjustments execute with unique cryptographic idempotency keys to guarantee that no account experiences duplicate deductions or duplicate disbursements.

DSP Statement Lag: Royalties are credited only when official remittance statements are received and parsed from DSPs, typically running 60 to 90 days after the calendar month in which streams occurred.

9Governing Law, Jurisdiction & Dispute Resolution

These Terms & Conditions are governed by and construed in accordance with the substantive laws of Bangladesh. Any dispute, controversy, or claim arising out of or relating to these terms or platform operations shall be resolved through good-faith mutual negotiations, failing which it shall be submitted to the exclusive jurisdiction of the competent courts of Dhaka, Bangladesh.
